SMTV License & SaaS Terms and Conditions

 


Terms and Conditions for Use of Smarttv.Cloud SaaS Platform

Effective Date: 2 February 2025

These Terms and Conditions ("Agreement") govern your use of the software and services provided by Smarttv.Cloud, an Australian registered company (ABN: 49 637 306 382), with registered offices at 11 North Quay Cct, Gold Coast , Queensland, Australia ("Company", "we", "us", or "our"). By accessing or using our Software-as-a-Service (SaaS) platform and any associated services including SMTV (Software Media Transmission & Viewing) licensing, you ("Customer", "you", or "your") agree to be bound by this Agreement.

1. DEFINITIONS

  • "SaaS Platform" means the software applications hosted and provided by Smarttv.Cloud as a service via the internet.
     
  • "SMTV Licensing" refers to your right to access and use media transmission and viewing features provided through the SaaS Platform.
     
  • "User Data" means any data, content, or material submitted by users through the SaaS Platform.
     

2. LICENSE GRANT AND RESTRICTIONS

2.1 License

We grant you a non-exclusive, non-transferable, revocable license to access and use the SaaS Platform and SMTV services for your internal business purposes.

2.2 Restrictions

You shall not:

  • Reverse engineer, decompile, or disassemble the SaaS Platform;
     
  • Use the service for any unlawful purpose or in violation of any applicable law or regulation;
     
  • Resell, sublicense, or distribute the service to any third party without our prior written consent.
     

3. USER ACCOUNTS

You must register an account to use the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. INTELLECTUAL PROPERTY

All intellectual property rights in the SaaS Platform, SMTV services, and related materials remain the sole property of Smarttv.Cloud. You retain ownership of your User Data.


5. DATA PRIVACY AND SECURITY

We handle your data in accordance with the Australian Privacy Principles and our Privacy Policy. You are responsible for ensuring your use complies with applicable data protection laws.

We implement reasonable technical and organizational measures to protect User Data from unauthorized access, use, or disclosure.

6. AVAILABILITY AND SUPPORT

We strive to maintain service availability of 99.5% uptime, excluding scheduled maintenance. Support is available via email at support@smarttv.cloud during standard business hours (AEST) or unless otherwise agreed.

7. TERMINATION

We may terminate or suspend access to the SaaS Platform with notice for breach of these terms. You may cancel your subscription or account at any time in accordance with applicable procedures.

Upon termination, your access to the SaaS Platform will cease, and we may delete your User Data after a reasonable retention period, unless otherwise required by law.

8. LIMITATION OF LIABILITY

To the extent permitted by law:

  • We are not liable for indirect or consequential loss, loss of profit, or data loss.
     
  • Our total liability for any claims arising out of this Agreement is limited to resupplying the services or the cost of resupply, and in any event shall not exceed the amount paid by you to us in the 12 months preceding the claim.
     

9. INDEMNITY

You agree to indemnify and hold us harmless from any claims, losses, damages, or liabilities arising from your use of the service or breach of this Agreement.

10. GOVERNING LAW

This Agreement is governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland.

11. CHANGES TO TERMS

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website or providing notice to you. Continued use of the Platform after such changes constitutes your acceptance. If you do not agree to the changes, you may terminate your account before the changes take effect.

13. ACCEPTANCE OF TERMS
